You understand and agree to the following terms and authorize me to provide you with web design services through your emailed confirmation below. 

You agree that you are hiring me as an independent contractor for the purpose of designing a world wide web site to be published on a hosting and domain account on an Internet Service Provider (ISP).

You authorize me to setup and/or access your hosting and domain accounts, or any other programs needed for this web design project that are included as part of your service requests.

You authorize me to add hidden search keywords to your benefit, and a description to enable me to submit the completed web design project to major web search engines once final payment for my work is received.

Development
During the process of creating your web site, you can view the work in progress on a site owned by me and give me feedback during the designing stages and I expect that you will promptly provide me with comments or instructions regarding any changes or corrections.

Copyrights and Trademarks
You guarantee that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to to me for use in the project are yours or that you have permission from the rightful owner to use each of these elements and that I am not liable for using them on your behalf.  You are responsible for your graphics, so you understand and agree to keep your original and only provide me with a copy to work from.

Website Maintenance
This agreement includes minor website maintenance over a 2 month period from the start date. Minor changes are defined as being up to one half hour of my time per regular web page for minor changes to sentences or paragraphs, but does not include replacing a large amount of text with new text that will alter the page design layout;  or any major page and design reconstruction; adding new pages, a guest book, discussion web, navigation structure changes, or correcting and repairing any attempted updates by client which have caused problems in the website after it was completed.

Completion Date
I cannot complete the web design in a timely manner without your cooperation! Once the project is scheduled to begin, you agree to provide the materials (content photos or text), that you want me to use . . . in a timely manner.  I agree to work expeditiously to complete the project after you have submitted all necessary materials. Your cooperation is key to the scheduling of my other projects. If I am unable to maintain my work flow because you haven't provided materials as per this agreement, I may have to set your project aside for other scheduled projects. In the event this occurs, there will be a $50 reactivation charge for the extra time spent re-establishing familiarity with the project  and the work-flow. 

Project Delivery
If we have not agreed to an installment payment plan, the final payment for your website is expected within 10 days of final publication. If not received by that time it is possible your website may be suspended until payment is received unless we've discussed it and have agreed otherwise.

You understand that I do not provide any hosting services in connection with this web project and do not receive any money or rewards from any hosting company or domain registry for referring you to them and I do not in any way guarantee your placement in the search engine rankings.

Your hosting services require a separate agreement from mine. I will recommend a hosting company, but you understand you are free to make the final decision. You will be solely responsible for any and all annual hosting and domain service fees which are to be paid to the hosting and domain companies.

Electronic Commerce Laws
You are also solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the project or any other services contemplated herein.

Copyright
The finished web design site I produce will belong to me until receipt of final payment at which time ownership is fully and completely yours, to do with as you wish. (Please note that I have no control over the legal rights to photos, graphics, source code, work-up files, and computer programs that are owned by others.)

I reserve the right to display graphics and other web design elements as examples of their work in their respective portfolios. All web design projects will contain a link to my own web site as the designer/author. If at some future date you have someone else alter my design, you agree to have my name removed from the site and notify me so I can remove it from my samples portfolio.

Payments & Payment Schedule
You agree payments will be made promptly, and in the event collection proves necessary, agree to pay all fees (including all attorney’s fees and court costs) incurred by that process. Credit card payment is accepted through PayPal.

You and I will have already discussed the estimated cost of your project and you agree to pay me the customary deposit (a non-refundable deposit if I have started your project), as a  percentage of the estimated total or the amount we have agreed upon.

Legal Notice
I cannot warrant that the functions contained in the web design project will be uninterrupted or error-free from any of the outside service providers such as internet or domain companies which are all beyond my control.

NOTE: On Adding Video to Your Website
Before you decide to add a video to your website, please understand that videos take up a lot of space (file size) and bandwidth in your hosting account so that every time a viewer clicks on the video they will be taking up some of your allocated bandwidth. Be sure to check with your web host if you're not sure how much you are provided. If you're paying a monthly fee for web hosting for a set amount of bandwidth then you could exceed your limits and be charged an extra fee if enough people view your video file.

What You Cannot Expect From Website Services

Graphics to print out as a brochure or flyer . . .
Website graphics are very different from those created for printed materials, so please don't expect what I create for your website to necessarily work for printed materials. Websites are not like a printed page, they are more fluid and have entirely different parameters. That is the reason you cannot successfully print out your web pages to use as a brochure or flyer so please don't expect that they will.

You can have me or someone else recreate the content in software for printed materials, but it just isn't going to work to have your website function as both a website on the internet and a brochure you can print out from it. It just doesn't work that way. I am only creating the graphics for your website, but if you need the services of a graphic artist, I'd be happy to refer you to several I know.

Search engine placement . . .
As part of my service I add comprehensive keywords which I compile from what you provide and my own careful research. I do the same regarding placement of relevant links to other high ranking sites and also advise you on how much relevant text you should have on your home page. I use special software to submit your site to search engines upon completion and generally try to do it again every few months. I do not and cannot guarantee your ranking in the search engines as that is something I have no control over. I do my best to observe and optimize my clients site to keep moving them up because a website needs to work for you as well as look great. You can help your ranking by driving traffic to your site through your own advertising efforts for more hits. Sometimes it can and may take up to six months for your site to come up in search lists depending on your category.

You now state . . .
I have carefully read and understand this Web Design Services Agreement and Refund Policy or have asked questions about anything that is not clear to me. I do want to proceed with a web design project created by LadyWebPro.com. and  hereby agree to the terms, and conditions set forth above by sending an email stating I've read it all and agree. 

Our agreement becomes effective when you acknowledge and agree to these terms by sending me an email stating you have read the agreement and refund policy and agree to the terms.
